Terms of Service

Terms and conditions governing the use of our services

1. Scope of Services

MTTN Logistics Solution provides industrial and logistics services to businesses in Bangladesh and internationally. These Terms of Service govern all service engagements unless superseded by a separate written Service Agreement. Our service categories and their specific terms are described below.

1.1 Manpower Supply & Recruitment Services

MTTN supplies skilled, semi-skilled, and unskilled personnel for industrial, commercial, and administrative roles. The following conditions apply specifically to manpower services:

  • Placement: MTTN will select and present candidates matching the qualifications requested by the Client. Final hiring decisions rest solely with the Client. MTTN does not guarantee the permanent retention or specific performance of any placed worker beyond reasonable reference and background verification.
  • Worker Conduct: While MTTN exercises due care in recruitment screening, the Client assumes responsibility for supervision, workplace conduct, and day-to-day management of placed personnel once they report to the Client's site.
  • Replacement Warranty: If a placed worker leaves the assignment within the first thirty (30) calendar days for reasons not caused by the Client, MTTN will provide one replacement candidate at no additional recruitment fee. This warranty does not cover workers terminated for misconduct, poor performance, or voluntary resignation with notice given to the Client.
  • Compliance: The Client must ensure that the work environment, tasks assigned, and working conditions comply with all applicable Bangladesh labor laws, including the Bangladesh Labour Act 2006 and any amendments. MTTN reserves the right to withdraw workers from any site that fails to meet basic safety and legal standards.
  • Insurance: MTTN carries group personal accident coverage for its deployed workers. The Client is responsible for any additional insurance required for specific high-risk tasks or extended liability coverage.
  • Billing: Manpower charges are billed on a monthly basis unless otherwise agreed. Charges commence from the date the worker reports to the Client's site. Overtime, allowances, and statutory benefits are billed at actuals or as per the Service Agreement.

1.2 Strategic Sourcing & Procurement Services

MTTN sources materials, equipment, and supplies from domestic and international vendors on behalf of the Client. The following conditions apply:

  • Vendor Selection: MTTN will identify and qualify vendors based on the Client's specifications, quality requirements, and budget parameters. Vendor selection recommendations are made in good faith but do not constitute a guarantee of vendor performance, solvency, or delivery capability.
  • Order Placement: Once the Client approves a vendor and specification, MTTN will place the order on the Client's behalf. Risk of loss or damage to goods passes to the Client upon delivery to the agreed Incoterms delivery point (e.g., FOB, CIF, EXW).
  • Defects and Returns: MTTN will assist the Client in pursuing warranty claims, returns, or exchanges with the vendor for defective or non-conforming goods. However, MTTN does not assume liability for manufacturer defects, shipping damage, or vendor non-compliance unless MTTN's own negligence caused the issue.
  • Lead Times: Delivery timelines provided by MTTN are estimates based on vendor commitments. MTTN is not liable for delays caused by vendors, shipping carriers, customs clearance, or other parties in the supply chain.
  • Import and Customs: For international procurement, the Client is responsible for providing accurate customs documentation and paying all applicable duties, tariffs, and taxes. MTTN may assist with customs clearance as a value-added service at an additional fee.

1.3 Logistics Support & Supply Chain Services

MTTN provides transportation, warehousing, inventory management, and distribution services. The following conditions apply:

  • Carriage of Goods: MTTN will exercise reasonable care in handling, transporting, and storing the Client's goods. However, MTTN is not liable for inherent risks of transit including but not limited to: weather-related delays, road conditions, traffic congestion, customs holds, port congestion, or acts of third-party carriers.
  • Damage and Loss: Claims for damaged or lost goods must be reported in writing within three (3) business days of delivery or expected delivery. MTTN's liability for physical damage or loss during transit is limited to the invoiced value of the specific goods or BDT 50,000 per shipment, whichever is lower, unless the Client has purchased additional cargo insurance through MTTN.
  • Warehousing: Goods stored in MTTN-managed facilities are insured against fire, theft, and structural damage up to the declared value. The Client must declare accurate value of stored goods. Hazardous, perishable, or illegal goods are not accepted for storage without prior written disclosure and approval.
  • Delivery Windows: Estimated delivery times are provided in good faith. MTTN will use reasonable efforts to meet scheduled delivery windows but does not guarantee specific arrival times. Time-critical shipments must be identified at the time of booking, and additional charges may apply for guaranteed delivery commitments.
  • Prohibited Goods: The Client shall not tender for transport or storage any goods that are illegal, hazardous without proper declaration, or restricted by applicable laws. The Client indemnifies MTTN against all claims arising from the tender of prohibited goods.

1.4 Project Cargo & Heavy Lift Services

MTTN handles specialized transportation and installation of oversized, heavy, or high-value cargo. The following conditions apply:

  • Site Survey: A mandatory pre-mobilization site survey is required for all heavy lift and oversized cargo operations. MTTN will assess access routes, ground conditions, overhead obstructions, and lifting points. Additional charges apply for engineering assessments, route surveys, or permits.
  • Lifting Plan: MTTN will prepare a detailed lifting plan and risk assessment for each operation. The Client must provide accurate weight, dimensions, and center of gravity information for all cargo. MTTN is not liable for inaccuracies in Client-provided cargo data.
  • Permits and Escorts: The Client is responsible for obtaining any required oversize/overweight vehicle permits, road closure approvals, and police escorts unless otherwise agreed in the Service Agreement. MTTN may arrange these on the Client's behalf at cost-plus basis.
  • Safety: All heavy lift operations follow international safety standards (e.g., BS 7121, ASME B30). MTTN reserves the right to halt or delay any operation that presents an unacceptable safety risk. The Client shall not pressure MTTN personnel to proceed with unsafe operations.
  • Liability: MTTN's liability for damage to cargo during lifting or transportation is limited as described in Section 6 (Liability and Insurance). Additional all-risk cargo insurance is strongly recommended and can be arranged through MTTN at the Client's request and cost.

1.5 Pest Control Services

MTTN provides inspection, treatment, and prevention of pest infestations. The following conditions apply:

  • Inspection: A thorough initial inspection is conducted to identify pest type, infestation level, and contributing factors. The Client must disclose any known pest issues, prior treatments, and site conditions that may affect treatment efficacy.
  • Treatment: MTTN uses eco-friendly and approved pesticides and methods. Treatment efficacy depends on site conditions, Client cooperation (e.g., site preparation, post-treatment access), and the severity of infestation. MTTN does not guarantee complete eradication from a single treatment session.
  • Re-Treatment: If follow-up treatment is required due to re-infestation within thirty (30) days of initial treatment, MTTN will provide one complimentary re-treatment provided the Client has followed all post-treatment instructions. Subsequent re-treatments will be billed at standard rates unless covered by a maintenance agreement.
  • Access: The Client must provide clear access to all areas requiring inspection or treatment. Failure to provide access to infested areas may result in incomplete treatment and will void any re-treatment warranty.
  • Safety: MTTN will provide safety data sheets (SDS) for all chemicals used. The Client must ensure that all personnel, occupants, and animals are evacuated from treated areas for the duration specified in the post-treatment instructions.

1.6 IT Support & Security Systems Services

MTTN provides technology consulting, infrastructure setup, and managed IT services. The following conditions apply:

  • Hardware and Equipment: Any hardware, equipment, or devices supplied by MTTN carry the manufacturer's original warranty. MTTN will assist with warranty claims but does not provide additional warranty beyond the manufacturer's terms unless a separate maintenance agreement is in place.
  • Installation: MTTN will install systems per agreed specifications and industry best practices. Post-instaliation, the Client is responsible for proper use, routine cleaning, and basic maintenance of installed equipment. Damage caused by misuse, power surges, or environmental factors is not covered.
  • System Availability: For managed IT services, MTTN will use reasonable efforts to maintain system availability of 99% uptime per month, excluding scheduled maintenance windows (typically announced 48 hours in advance) and force majeure events. This service level applies only to systems directly managed by MTTN and does not extend to internet connectivity, power supply, or third-party services.
  • Cybersecurity: MTTN will implement industry-standard security measures including firewalls, antivirus, access controls, and regular security patches. However, no system is impenetrable. MTTN does not guarantee absolute prevention of security breaches, cyberattacks, or data loss. The Client should maintain independent backups of critical data.
  • Remote Monitoring: For CCTV and surveillance systems, MTTN provides remote monitoring capabilities where contracted. The Client is responsible for ensuring that surveillance complies with applicable privacy laws and regulations. MTTN does not monitor footage for security events unless a dedicated monitoring service agreement is in place.
  • Response Times: Support response times are based on severity level: Critical (system down) — within 4 hours during business hours; High (major feature impacted) — within 8 hours; Medium (minor issue) — within 24 hours; Low (question or request) — within 48 hours. Business hours are Sunday through Thursday, 9:00 AM to 6:00 PM Bangladesh Standard Time.

1.7 Value-Added Services (VAS)

MTTN provides specialized packaging, labeling, crating, cargo surveying, and quality inspection services. The following conditions apply:

  • Packaging Standards: MTTN will package goods per agreed specifications and applicable export or industry standards (e.g., ISPM 15 for wooden crates, ISTA for transit packaging). The Client must specify any special packaging requirements at the time of service order.
  • Labeling and Barcoding: MTTN will apply labels and barcodes per the Client's specifications. The Client is responsible for verifying label accuracy before application. MTTN is not liable for costs arising from incorrect labeling instructions provided by the Client.
  • Cargo Survey: Cargo survey and inspection reports reflect the condition of goods at the time of inspection. Surveys are conducted visually unless destructive testing is specifically requested and agreed. MTTN's survey reports are advisory and do not constitute a guarantee of cargo condition, quality, or fitness for purpose.
  • Materials: Unless otherwise specified, packaging materials are billed at cost plus a handling fee. The Client may supply their own packaging materials, in which case MTTN is not liable for defects in Client-supplied materials.

2. Client Obligations

The Client agrees to the following when engaging any MTTN service:

  • Accurate Information: Provide complete, accurate, and current information including cargo specifications, site conditions, worker requirements, and any hazards or special considerations. MTTN is not liable for delays, damages, or failures resulting from inaccurate or incomplete Client information.
  • Site Access and Safety: Provide safe access to premises where MTTN personnel will work. The Client must inform MTTN of any known hazards (chemical, structural, electrical, biological) on site before work begins. MTTN personnel have the right to refuse work in unsafe conditions without penalty.
  • Compliance: Ensure that all activities, goods, and materials involved in the engagement comply with applicable Bangladesh laws and regulations including customs, labor, environmental, and trade laws.
  • Timely Decisions: Provide timely approvals, decisions, and responses to MTTN inquiries. Delays caused by the Client may result in extended timelines and additional charges. MTTN will notify the Client of any delays caused by Client inaction.
  • Payment: Pay all invoiced amounts within the agreed payment terms. Late payments may result in service suspension until outstanding amounts are cleared.

3. Quotations, Pricing, and Payment

  • Quotations: Written quotations are valid for fifteen (15) calendar days from the date of issuance unless otherwise stated. Prices are subject to change after the validity period. Verbal quotes are indicative only and not binding.
  • Invoicing: Invoices are due within fifteen (15) calendar days from the invoice date unless alternative terms are agreed in writing. Manpower services are billed monthly in advance or arrears as specified in the Service Agreement.
  • Late Payment: Overdue amounts may incur a late payment charge of 1.5% per month on the outstanding balance. MTTN may suspend services until overdue payments are cleared. The Client shall also be responsible for all reasonable collection costs.
  • Taxes and Duties: All fees are exclusive of VAT, tax, duties, or government levies. The Client is responsible for all applicable taxes unless a valid tax exemption certificate is on file.
  • Currency: Payments shall be made in Bangladeshi Taka (BDT) unless otherwise agreed in writing. Currency conversion costs, if any, shall be borne by the Client.
  • Deposits: MTTN may require advance payment or a deposit for project cargo, large procurement orders, new client engagements, or services requiring significant upfront costs. Such amounts are non-refundable if the Client cancels after MTTN has incurred committed costs.
  • Disputed Invoices: Invoice disputes must be raised in writing within five (5) business days of receipt. Undisputed portions must be paid by the due date. Both parties agree to resolve disputes in good faith within fifteen (15) business days.

4. Service Agreement and Variations

These Terms apply to all engagements. For ongoing or complex engagements, a separate Service Agreement may be executed detailing scope, pricing, timelines, and specific conditions. In case of conflict between these Terms and a Service Agreement, the Service Agreement prevails.

Any changes to scope, specifications, quantities, or timelines requested by the Client after the engagement has commenced may result in additional charges. MTTN will provide a written variation quote before proceeding with changes. The Client's verbal or written instruction to proceed with a variation constitutes acceptance of the variation cost.

5. Cancellation and Refund Policy

  • Manpower Services: The Client may cancel a manpower requisition at any time before the worker reports to site at no charge. Once a worker has reported to site, standard billing applies. Early termination of a manpower contract requires fifteen (15) calendar days' written notice.
  • Logistics and Transport: Scheduled transport may be cancelled up to twenty-four (24) hours before the scheduled pickup at no charge. Cancellations within twenty-four (24) hours may incur a charge of up to 50% of the transport fee. Bookings cancelled after pickup/departure are fully chargeable.
  • Project Cargo: Cancellation of heavy lift or project cargo operations after engineering or planning work has begun will incur charges for all work completed up to the cancellation date, including any third-party costs already committed.
  • Pest Control: Appointments cancelled with less than twenty-four (24) hours' notice may incur a cancellation fee of BDT 1,000 or 25% of the service fee, whichever is higher.
  • IT Services: Hardware orders that have been placed with suppliers cannot be cancelled once the supplier has accepted the order. Service appointments cancelled with less than forty-eight (48) hours' notice may incur a fee of BDT 2,000.

6. Liability and Insurance

General Liability. MTTN Logistics Solution carries comprehensive general liability insurance. Claims for loss, damage, or injury arising from MTTN's negligence must be submitted in writing within seven (7) calendar days of the incident with supporting documentation.

Limitation of Liability. To the maximum extent permitted by Bangladesh law, MTTN's total liability for any claim arising from a service engagement shall not exceed the total amount paid by the Client for the specific service giving rise to the claim. MTTN shall not be liable for indirect, consequential, or incidental damages including but not limited to loss of profit, loss of production, loss of business opportunity, or cost of replacement services.

Cargo and Goods. For logistics, cargo, and warehousing services, MTTN's liability for physical loss or damage to Client goods is limited as specified in Section 1.3 of these Terms. The Client is strongly advised to maintain their own all-risk cargo insurance or purchase transit insurance through MTTN at an additional premium.

Worker Injury. For manpower services, MTTN's insurance covers workplace injuries to MTTN-deployed workers arising from workplace accidents. The Client must immediately report any worker injury occurring at the Client's site and cooperate fully with insurance claim processing. The Client may be liable for additional compensation if the injury resulted from the Client's failure to provide a safe working environment.

IT Systems. For IT services, MTTN's liability is limited to the cost of repairing or replacing defective hardware or re-performing non-conforming services. MTTN is not liable for data loss, business interruption, or security breaches resulting from third-party attacks, Client negligence, or software vulnerabilities that were not known at the time of installation.

Force Majeure. MTTN shall not be liable for any failure or delay in performance caused by events beyond its reasonable control including but not limited to: acts of God, natural disasters, war, civil unrest, terrorism, strikes, labor disputes, pandemics, government actions, port closures, power outages, internet disruptions, or supply chain disruptions affecting MTTN's suppliers or subcontractors.

7. Insurance Obligations of the Client

The Client is encouraged to maintain appropriate insurance coverage including:

  • General liability insurance covering the Client's premises and operations
  • Cargo or goods-in-transit insurance for goods being transported or stored by MTTN
  • Workers' compensation or employer's liability insurance for the Client's own employees
  • Property insurance covering the Client's facilities and equipment where MTTN personnel will work

8. Safety and Compliance

Safety is a shared responsibility. Both parties agree to:

  • Comply with all applicable occupational health and safety laws and regulations
  • Report any safety incidents, near misses, or hazards immediately
  • Maintain a zero-tolerance policy for working under the influence of drugs or alcohol
  • Ensure that all personnel wear appropriate personal protective equipment (PPE) as required
  • Cooperate fully in any safety investigation arising from an incident

MTTN reserves the right to stop work immediately if safety conditions are compromised. The Client shall not direct MTTN personnel to perform tasks that violate safety protocols or applicable regulations.

9. Confidentiality

Both parties may have access to confidential information during the engagement. "Confidential Information" includes business plans, pricing, client lists, technical specifications, project data, personnel records, and any information marked as confidential or that a reasonable person would consider confidential.

Each party agrees to: (a) use Confidential Information only for the purpose of the engagement; (b) restrict access to personnel who need to know; (c) not disclose to third parties without written consent, except as required by law; (d) return or destroy Confidential Information upon request or termination of the engagement.

This obligation survives termination of the engagement for three (3) years. Information that is publicly available, independently developed, or lawfully obtained from a third party is not subject to this clause.

10. Intellectual Property

Any methodologies, processes, software, documentation, or tools developed by MTTN in the course of providing services remain MTTN's intellectual property. The Client receives a non-exclusive, non-transferable license to use deliverables specifically created for the Client's engagement. Client-provided specifications, data, and materials remain the Client's property.

Neither party may use the other party's trademarks, logos, or branding without prior written consent. MTTN may include the Client's name in its portfolio and reference list unless the Client expressly opts out in writing.

11. Termination

  • By Either Party: Either party may terminate a service engagement by providing the notice period specified in the Service Agreement. In the absence of a specified notice period, fifteen (15) calendar days' written notice applies.
  • For Cause: Either party may terminate immediately if the other party: (a) commits a material breach that is not cured within seven (7) calendar days of written notice; (b) becomes insolvent or enters bankruptcy; (c) engages in fraudulent, illegal, or grossly negligent conduct.
  • Effect: Upon termination, the Client shall pay for all services performed and costs incurred up to the effective date of termination. Any unused prepaid amounts for services not yet performed will be refunded within thirty (30) calendar days.

12. Dispute Resolution

Governing Law. These Terms are governed by the laws of the People's Republic of Bangladesh.

Negotiation First. Any dispute shall first be addressed through good-faith negotiations between the parties within fifteen (15) business days of written notice.

Mediation. If negotiation fails, the dispute shall be referred to non-binding mediation before a mutually agreed mediator in Chittagong, Bangladesh. Mediation costs are shared equally.

Arbitration. If mediation fails, either party may refer the dispute to binding arbitration under the Bangladesh Arbitration Act. The arbitration shall be conducted in English in Chittagong by a single arbitrator mutually appointed by both parties.

Jurisdiction. Subject to the arbitration clause, the courts of Chittagong, Bangladesh have exclusive jurisdiction over any disputes.

13. General Provisions

Entire Agreement. These Terms, together with any Service Agreement and referenced policies, constitute the entire agreement between the parties and supersede all prior discussions and agreements.

Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver. Failure to enforce any provision does not constitute a waiver of that provision.

Assignment. The Client may not assign these Terms without MTTN's written consent. MTTN may assign freely.

Notices. Legal notices shall be sent to the addresses in the Contact Us section. Notices are deemed received three (3) business days after mailing or immediately upon email delivery (with confirmed receipt).

Relationship. Both parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
